1. ACCEPTANCE OF TERMS

Welcome to MobsterGang, Inc. ("MobsterGang," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and MobsterGang, Inc., a Delaware corporation, governing your access to and use of our website, applications, services, and any related products or services (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

We reserve the right to modify these Terms at any time, effective upon posting the updated Terms on the Platform. Your continued use of the Platform following any changes constitutes acceptance of the modified Terms.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

To access certain features, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information to keep it accurate
Maintain the security and confidentiality of your account credentials
Accept full responsibility for all activities that occur under your account
Immediately notify us of any unauthorized use of your account or other security breaches

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including for violations of these Terms.

3. PLATFORM SERVICES AND PRODUCTS

MobsterGang provides a platform that facilitates connections between investors and operators in private markets. Our services include, but are not limited to:

Investor and operator networking and matching services
Access to curated investor information and contact details
Deal flow data and market intelligence
AI-powered research and analysis tools
Premium data products and services accessible through our applications
Document upload and processing services, including PDF analysis and automated account creation

We reserve the right to modify, suspend, or discontinue any aspect of the Platform or its services at any time without notice.

4. SOFTWARE AND AI SERVICES LICENSE

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our AI-powered tools and services solely for your internal business purposes. This license is personal to you and may not be assigned or transferred without our express written consent.

You may not:

Reverse engineer, decompile, or attempt to extract our proprietary algorithms, AI models, or data processing methodologies
Use automated systems to scrape, extract, or harvest data from the Platform
Redistribute, resell, or commercialize Platform content or services without authorization
Create derivative works based on our proprietary technology or content
Remove or modify any proprietary notices or markings

All rights not expressly granted to you are reserved by MobsterGang and our licensors.

5. SERVICE DELIVERY AND ACCEPTANCE

AI analysis, document processing, and data services are considered delivered upon completion of processing. You have 24 hours from service delivery to report technical issues with service functionality through our designated support channels.

Important Limitations:

Dissatisfaction with results, analysis quality, or business outcomes does not constitute a technical issue eligible for remedy
Once information is disclosed or access is granted, the service cannot be "returned" or "undone"
Technical issues must be specific functionality problems, not subjective quality concerns
Failure to report technical issues within 24 hours constitutes acceptance of the delivered services

6. PLATFORM UPDATES AND MODIFICATIONS

We may update our AI models, algorithms, matching systems, and platform features at any time without notice. Such improvements are made to enhance overall platform performance and user experience.

You acknowledge that:

Platform updates do not entitle you to refunds for previously purchased services
Updates may affect the consistency of results across different time periods
We have no obligation to maintain backward compatibility with previous versions
Your continued use of the Platform following updates constitutes acceptance of the modified services

7. PURCHASES AND NO REFUNDS POLICY

CRITICAL NOTICE - READ CAREFULLY:

ALL SALES ARE FINAL. ABSOLUTELY NO REFUNDS WILL BE PROVIDED FOR ANY PURCHASES MADE ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

Investor information and contact details
Deal flow data and market intelligence
Premium data products or services
Access to restricted content or features
Any digital products, information, or services

BY MAKING ANY PURCHASE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

You understand the nature of the information or service being purchased
Once information is disclosed or access is granted, it cannot be "returned" or "undone"
The digital nature of our products makes refunds impossible and impractical
You waive any right to dispute, chargeback, or claim refund for any reason
You have carefully considered your purchase and accept full responsibility for it

This no-refunds policy applies regardless of: your satisfaction with the information, changes in your business needs, technical issues on your end, misunderstanding of the product, buyer's remorse, or any other circumstance. NO EXCEPTIONS WILL BE MADE.

In the event of any payment dispute or chargeback attempt, you agree to cooperate fully in the resolution process and acknowledge that this agreement serves as evidence of your informed consent to the no-refunds policy.

Document Processing Services: By uploading documents (including PDFs) to our Platform, you acknowledge that these services are provided immediately upon upload and cannot be "undone" or "returned." Once documents are processed and analyzed, the service is considered delivered and no refunds will be provided, regardless of the analysis results or your satisfaction with the outcomes.

8. INVESTMENT AND SECURITIES DISCLAIMERS

IMPORTANT REGULATORY DISCLOSURES:

MobsterGang is NOT:

A registered investment advisor under federal or state securities laws
A broker-dealer or financial intermediary
A fund manager or investment company
A financial advisor or fiduciary
A party to any investment transactions between users

We do NOT:

Provide investment advice, recommendations, or solicitations
Guarantee investment returns or outcomes
Verify the accuracy of all user-provided information
Conduct due diligence on behalf of users
Participate in or facilitate securities transactions

You are solely responsible for: conducting your own due diligence, evaluating investment risks, ensuring compliance with applicable securities laws, and making independent investment decisions. Any investment decisions are made at your own risk and discretion.

9. THIRD-PARTY SERVICES AND DATA SHARING

Our Platform integrates with various third-party service providers to deliver our services effectively. By using the Platform, you acknowledge and consent to the sharing of your information with these third-parties as necessary for Platform operations:

Payment Processing: Stripe processes all payments and may collect payment information, billing details, and transaction data
Analytics and Product Optimization: PostHog analyzes user behavior and platform usage to improve our services
AI and Machine Learning: OpenAI powers various AI features and may process your content and interactions, including analysis of uploaded PDF documents and other files for research and matching purposes
Email Communications: Resend manages our email delivery services
Scheduling Services: Cal.com facilitates meeting and appointment scheduling
Cloud Services: Various cloud service providers host and process Platform data
Development Tools: We use various software development tools that may process code and platform data
Additional Vendors: We may engage other service providers as needed for Platform operations

Each third-party provider operates under their own privacy policies and terms of service. While we select vendors we believe maintain appropriate data protection standards, we cannot control their data practices and disclaim responsibility for their handling of your information.

10. AUTOMATED ACCOUNT CREATION AND DOCUMENT PROCESSING

By uploading documents (including PDFs) to our Platform, you acknowledge and consent to:

Automated Account Creation: An account may be automatically created for you on our research platform when you upload documents through our marketing site or other entry points
Document Processing Consent: You grant us permission to process, analyze, and store uploaded documents using AI and other technologies for research and matching purposes
Cross-Platform Access: Your uploaded documents and account information may be accessible across our various platforms and services
Service Delivery: Uploading documents constitutes acceptance of our services and acknowledgment that processing begins immediately upon upload
No Refund Rights: Once documents are uploaded and processing begins, no refunds will be provided as the service is considered delivered

You represent and warrant that you have the right to upload and process any documents you submit, and that such documents do not violate any third-party rights or applicable laws.

11. USER CONDUCT AND RESTRICTIONS

You agree not to:

Violate any applicable laws, regulations, or third-party rights
Use the Platform for any illegal, harmful, or unauthorized purpose
Attempt to gain unauthorized access to Platform systems or user accounts
Interfere with or disrupt Platform services or infrastructure
Upload malicious code, viruses, or harmful content
Engage in automated data scraping or extraction
Impersonate others or provide false information
Redistribute, resell, or commercialize Platform content without authorization
Attempt to reverse engineer or copy Platform functionality
Violate the intellectual property rights of MobsterGang or others
Share or resell purchased investor contact information to unauthorized third parties
Use obtained information for purposes other than legitimate business evaluation

Violation of these restrictions may result in immediate termination of your access and legal action.

12. INTELLECTUAL PROPERTY RIGHTS

The Platform and all content, features, functionality, information, software, and related materials are owned by MobsterGang or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. This license does not include any right to:

Reproduce, distribute, or create derivative works from Platform content
Use our trademarks, logos, or branding without express written permission
Remove or modify any proprietary notices or markings
Use the Platform in any manner that suggests endorsement or partnership without authorization
Extract, compile, or create databases from Platform content
Reverse engineer our algorithms, AI models, or proprietary methodologies

Users shall not attempt to reverse engineer, decompile, or extract the underlying algorithms, data models, or proprietary methodologies of the Platform.

13. CONFIDENTIALITY AND NON-DISCLOSURE

Through the Platform, you may gain access to confidential information belonging to other users, including but not limited to business plans, financial information, investor details, and proprietary data.

You agree to:

Maintain strict confidentiality of all such information
Use confidential information solely for legitimate business evaluation purposes
Not disclose confidential information to unauthorized third parties
Implement reasonable security measures to protect confidential information
Comply with any additional non-disclosure agreements entered into with other users
Not use confidential information for competitive purposes or to harm the disclosing party

These confidentiality obligations survive termination of these Terms and continue indefinitely. Breach of confidentiality obligations may result in immediate termination and legal action for damages.

14. WARRANTIES AND DISCLAIMERS

DISCLAIMER OF WARRANTIES:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MOBSTERGANG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF PLATFORM CONTENT
WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
WARRANTIES REGARDING THE RESULTS OF USING THE PLATFORM
WARRANTIES REGARDING AI ACCURACY, MATCHING EFFECTIVENESS, OR DATA COMPLETENESS
WARRANTIES REGARDING THE SUCCESS OF BUSINESS CONNECTIONS OR INVESTMENT OUTCOMES

WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY INFORMATION PROVIDED WILL BE ACCURATE, COMPLETE, OR CURRENT. AI-GENERATED CONTENT AND ANALYSIS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR BUSINESS DECISIONS.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOBSTERGANG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT
DAMAGES RELATED TO INVESTMENT DECISIONS OR TRANSACTIONS
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
DAMAGES ARISING FROM AI ANALYSIS ERRORS OR MATCHING FAILURES
DAMAGES ARISING FROM BUSINESS RELATIONSHIP FAILURES OR DISPUTES

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO MOBSTERGANG IN THE SIX MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the theory of liability and even if we have been advised of the possibility of such damages.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MobsterGang and its officers, directors, employees, agents, and affiliates from and against any and all claims, disputes, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Platform or violation of these Terms
Your violation of any law, regulation, or third-party right
Any content you submit or transmit through the Platform
Any investment or business decisions you make based on Platform information
Any disputes between you and other Platform users
Your breach of any confidentiality or non-disclosure obligations
Your misuse of obtained investor information or violation of securities laws
Any claims arising from your business relationships formed through the Platform

This indemnification obligation survives termination of these Terms.

17. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or our services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York, before a single arbitrator with experience in technology and business disputes.

ARBITRATION COST ALLOCATION: For consumer disputes, MobsterGang will pay all arbitration costs and fees beyond a filing fee not to exceed the cost of filing a lawsuit in state court (currently approximately $200-400). If you substantially prevail in arbitration, MobsterGang will reimburse your filing fee. This cost allocation ensures arbitration remains accessible while providing fair dispute resolution.

ARBITRATION PROCEDURES:

The arbitrator's decision shall be final and binding
Each party shall bear its own attorneys' fees unless the arbitrator awards fees to the prevailing party
Discovery shall be limited to information directly relevant to the dispute
The arbitration shall be confidential

CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding shall be limited to the dispute between you and MobsterGang individually. You waive any right to participate in class action lawsuits, class-wide arbitrations, or representative actions.

EXCEPTIONS: Either party may seek injunctive relief in state or federal court in New York, NY for violations of intellectual property rights or confidentiality obligations.

18. TERMINATION

We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including breach of these Terms, misuse of investor information, or violation of confidentiality obligations.

Upon termination:

Your right to use the Platform ceases immediately
You remain liable for all charges incurred prior to termination
All provisions that by their nature should survive termination shall survive
We may retain and use your information as permitted by our Privacy Policy
You must immediately cease all use of any confidential information obtained through the Platform
Your license to use our software and AI services terminates immediately

You may terminate your account at any time, but termination does not entitle you to any refunds for previously purchased services.

19. ASSIGNMENT AND TRANSFER RESTRICTIONS

These Terms and any rights granted hereunder are personal to you and may not be assigned, transferred, or sublicensed without our express written consent. Any attempted assignment without consent shall be void.

Specifically, you may not:

Transfer your account or access rights to another person or entity
Share login credentials with unauthorized parties
Assign your rights to purchased information or services
Transfer these Terms in connection with a merger, acquisition, or sale of assets without our consent

We may assign these Terms and our rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets.

20. MISCELLANEOUS PROVISIONS

Entire Agreement: These Terms constitute the entire agreement between you and MobsterGang regarding the Platform and supersede all prior or contemporaneous agreements.

Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, government actions, or third-party service failures.

Survival: Sections relating to intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive shall survive termination of these Terms.
