• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Platform Rules and Restrictions

When using the Platform, you agree not to:

• Violate any applicable law, regulation, or third-party rights

• Circumvent any security measures or access restrictions

5. Investment Opportunities and Deals

MobsterGang facilitates connections between Investors and Operators but does not:

• Offer investment advice or recommendations
• Guarantee returns on any investment
• Verify all information provided by Users
• Act as a broker, dealer, or investment advisor
• Participate directly in investment transactions

Users are solely responsible for:

• Conducting their own due diligence
• Evaluating the risks of any potential investment
• Ensuring compliance with applicable securities laws
• Negotiating, documenting, and executing their own transactions

6. User Content

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with the Platform.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable laws

We reserve the right to remove any User Content that violates these Terms or that we deem objectionable.

7. Intellectual Property

The Platform and its content, features, and functionality are owned by MobsterGang and are protected by copyright, trademark, and other intellectual property laws.

• Not disclose confidential information to any third party without explicit permission
• Comply with any non-disclosure agreements you enter into with other Users

9. Fees and Payments

MobsterGang may charge fees for certain services or features. By using such services, you agree to pay all applicable fees. We reserve the right to change our fee structure with reasonable notice.

All payments are non-refundable unless otherwise specified or required by law.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE PLATFORM WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
• ANY ERRORS OR DEFECTS WILL BE CORRECTED
• THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOBSTERGANG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
• ANY CONTENT OBTAINED FROM THE PLATFORM
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
• ANY INVESTMENT OR DEAL FACILITATED THROUGH THE PLATFORM

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO MOBSTERGANG IN THE LAST SIX MONTHS.

12. Indemnification

You agree to indemnify, defend, and hold harmless MobsterGang and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right
• Any claim that your User Content caused damage to a third party
• Any transaction or deal you engage in through the Platform

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of these Terms and notify you as required by law.

Your continued use of the Platform after any changes indicates your acceptance of the modified Terms.

15. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.
